- 1 Signing of Purchase Contract
The Purchase Contract should be duly signed and stamped in all pages and returned within 3 working days. From the date received the failure in which standard Terms & Conditions will be deemed binding on both the Buyer and Seller.
- 2 Export Obligation
A notarized copy of the entire original purchase material and invoice which has been declared to the shipping authorities becomes the sole basis for further clearance and claim in case of the contract is open for multiple and blanket buyer and bidding.
- 3 Execution & Dispatch
Any changes in execution / delay will be liable to a loss of EUR 25/ MT per week to a maximum of EUR 500 which shall be adjusted from the next Settlement. Depot Price / Loading & Execution will be as mentioned in the Purchase Contract. Failure in the execution of a Purchase Contract will be liable to blacklisting of the Vendor and cancellation of the same. In the event the Buyer is liable for such delay, the vendor must intimate the same in writing in advance and the Buyer shall be liable to provide in writing a revised date for execution. In case of Loading from ICD, delay in release by Vendor beyond 7 days shall not be entertained unless valid reason is supported by written communication with shipping line or surveyor.
- 4 EDR
EDR charges at port handling depot, stuffing & loading are not in our account. Delay in stuffing the cargo due to unavailability of stuffing container or depot system issue shall not be charged. Profit in Destination is at Buyer's Account.
- 5 Port Related Charges & Ground Rent
In case the cargo is pending with shipping line, and final destination or buyer to pick up, discharge and return the containers, then, container detention charges levied by shipping line will be liable up to max 14 days. After that the amount levied if not able to be avoided by Seller of such actual charges incurred and mandatory to be supported. However, any storage detention after 14 free days, will be treated as Buyer's liability. In case Vendor requests to hold the shipment and it is pending by buyer in response to “Vendor Request to Hold,” the charges arising from storage / detention / auction being informed and levied on Port Authorities will be shared between Buyer and Vendor. The Buyer shall take discharge of cargo within 7 working days. If the same is pending beyond 14 days, such amount and penalty by auction etc. shall be notified in advance and all such costs will be liable to be recovered jointly. The same will be directly adjusted by communication method of any future shipment against Valid Revised Invoice of Vendor.
- 6 Loading at Depot / CFS
Unless loading is done within the contract validity from the time of signing the Purchase Contract, the same will be deemed cancelled or will be revised to the current market rate.
- 7 Quality Check at Seller
All cargo loaded shall be of the quality which is agreed upon and shall be Final Destination. There would be Final Deduction if the material is found to be inferior grade or loss of value.
- 8 Policy Loss or Access
Buyer is not liable for any claim for insurance losses, shortage, theft, breakage, damage or pilferage in warehouse, transit, port or discharge. In case of any such dispute with vendor it will not be covered, Buyer will only assist in filing and all burden on local practice.
- 9 Documents
The documents shall be prepared and couriered within 5 working days from date of loading. The title will be considered transferred.
- 10 Jurisdiction
In the event of any legal dispute, Buyer’s jurisdiction will be the binding law and any other party engaging Countrywise shall not be considered.
- 11 Acceptance of the Buyer
Shall not result in the change in the context of purchase.
